SEC Proposes to Rescind Climate Rules

Summary

The SEC proposed to rescind the climate-related disclosure rules (“climate rules” or “final rules”) in their entirety after concluding that they exceeded the scope of the SEC’s statutory authority. The final rules, which were adopted March 2024, required registrants to disclose information such as greenhouse gas emissions, climate-related risks, and financial metrics in registration statements and annual reports. The SEC subsequently stayed the final rules due to several petitions for review filed in the U.S. Court of Appeals that challenged the validity of the rules and in March 2025, voted to stop defending the rules. In September 2025, the U.S. Court of Appeals held the legal challenges in abeyance until the SEC determined whether to modify, repeal or rescind the final rules.
